Terms of Service

These Terms govern your use of getisovel.com, the Isovel waitlist, and the Isovel product trial offered by Isovel, Inc. (“Isovel,” “we,” “us”).
How you accept these Terms. Browsing the marketing site and joining the waitlist are subject to the parts of these Terms that apply to general site use — acceptable use (section 6), intellectual property (section 7), the disclaimers (section 8), and the limitation of liability (section 9). The full Terms, including the data-processing terms and indemnity, apply when you start an Isovel trial and accept these Terms at signup. By accepting, you agree to these Terms on behalf of yourself and your employer, and you represent that you’re authorized to bind your employer.
Paid use of Isovel is governed by a separate Subscription Agreement accepted at checkout when you convert (available in advance on request to support@getisovel.com). Where the Subscription Agreement and these Terms conflict, the Subscription Agreement controls for paid customers.
1. Who can use the service
- You must be at least 18 and legally able to enter a contract.
- You must be authorized to bind the company you represent.
- The trial is intended for businesses running Microsoft Dynamics 365 Business Central. If you’re not, you’re welcome on the marketing site but the trial isn’t for you.
- We may decline to provide the service to anyone, at any time, for any lawful reason. We may also stop service to customers in jurisdictions we’re not authorized to serve.
2. What Isovel does
Isovel is an agentic supply chain planning co-pilot for Microsoft Dynamics 365 Business Central. The product:
- Connects to your BC tenant under your authorization.
- Forecasts demand, recommends replenishment, and surfaces exceptions.
- During the trial, runs in shadow mode (read-only) — we read BC data and show you recommendations, but we don’t write back.
- After conversion to paid, writes back to BC under approval-gate, with idempotent writes and a 24-hour rollback window. A human on your side approves write-backs.
The full description of in-scope features lives in the product documentation and the Subscription Agreement. We may add, change, or remove features in line with the product roadmap.
3. Your account and authorization
You’re responsible for:
- The credentials issued to anyone you authorize to use Isovel.
- The actions taken under those credentials.
- Maintaining the BC connection and the OAuth grants we need to operate.
- Notifying us promptly if you suspect unauthorized access.
We’re responsible for:
- Keeping your authentication infrastructure functional under normal operation.
- Honoring revocation of your BC OAuth grant within the windows described in the security page.
4. Your data
You own your data. We process it on your instructions to deliver the service.
- We don’t sell it. We don’t share one customer’s data with another customer.
- We use it to run the product, support you, secure the platform, and improve forecasting in the narrow, customer-isolated way described in our privacy policy.
- You can export your data during the contract. We delete it within 30 days of termination, subject to backup ageing windows described in the privacy policy.
Data processing (trial and paid). Where your use of Isovel involves processing personal data of others (employees, customers, vendors), you are the controller and Isovel is your processor. Our processing of that personal data — during the trial and after conversion — is governed by our Data Processing Addendum (“DPA”), which is incorporated into these Terms and applies from the first day of your trial. In short, Isovel processes that data only on your instructions, keeps it confidential and secure, uses only the sub-processors listed in our privacy policy, assists you with data-subject requests, and deletes it on termination subject to the backup windows in the privacy policy.
5. Fees, trial, and billing
The waitlist and trial are free. No credit card to join the waitlist. No credit card to start the 30-day shadow-mode trial.
Founding pricing. Waitlist members who convert during the founding cohort lock in $999/month or $10,000/year for the duration of their first 12-month term. Pricing may change for new customers after the founding cohort fills.
Conversion to paid. Conversion happens by selecting a paid plan and accepting the Subscription Agreement at checkout. Until you do, no charges occur.
Renewals and refunds. Renewal terms, auto-renewal, and any refunds are governed by the Subscription Agreement and the plan you select. Because the trial is free, no refunds arise from it.
Taxes. Stated prices exclude applicable taxes. You’re responsible for sales, use, VAT, and similar taxes other than taxes on our net income.
No auto-conversion from trial. A trial does not become paid automatically. If you don’t accept the Subscription Agreement and select a paid plan, the trial ends and we delete trial data per the schedule in our privacy policy.
6. Acceptable use
You agree not to:
- Use Isovel for anything illegal, infringing, or in violation of any third party’s rights.
- Reverse-engineer the service or attempt to derive the underlying source code, models, or training data (except where the law explicitly permits and we cannot lawfully restrict).
- Access the service to build a competing product.
- Probe, scan, or test the vulnerability of the service except under a coordinated disclosure on the security page.
- Send malware, attempt to exfiltrate other customers’ data, or knowingly degrade service performance for others.
- Misrepresent your relationship to Isovel publicly.
- Use Isovel in violation of any applicable export control or economic sanctions laws, including if you are located in, or are a national or resident of, an embargoed country, or if you appear on any government denied-party, debarred, or sanctions list (for example, US OFAC lists).
We may suspend access if we reasonably believe you’re violating this section, after notice and an opportunity to cure where practical.
7. Intellectual property
- Isovel owns the service, including the software, models, documentation, brand, and any improvements we make. We grant you a non-exclusive, non-transferable, non-sublicensable right to use it during the term.
- You own your data and your business inputs. You grant us the license needed to operate the service for you, as scoped in section 4.
- Feedback you give us (suggestions, bug reports, feature requests) — we can use it without obligation to you. We won’t quote you publicly without permission.
8. Warranties and disclaimer
Isovel will use commercially reasonable efforts to provide the service consistent with the security page and the Subscription Agreement.
Except as stated in the Subscription Agreement, the marketing site and the trial are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. The trial is a preview; we don’t promise it will be uninterrupted or error-free.
Forecasting and planning recommendations are decision-support outputs, not financial or business advice. You are responsible for the decisions you make based on them.
9. Limitation of liability
To the maximum extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
- For the marketing site and the free trial, our aggregate liability is limited to one hundred US dollars ($100).
- For paid customers, the limitation is set in the Subscription Agreement (tied to fees paid in the prior 12 months).
Nothing in these Terms limits liability for: gross negligence, willful misconduct, fraud, your indemnification obligations under section 10, or anything that cannot be limited under applicable law.
10. Indemnification
You’ll defend and indemnify Isovel against third-party claims arising from your data, your use of the service in violation of these Terms, or your products and services.
For the free trial, Isovel does not provide an indemnity. Isovel’s defense and indemnity obligations to you — including for claims that the unmodified service infringes a US patent, copyright, or trade secret — apply only to paid customers and are set out, and capped, in the Subscription Agreement.
11. Term and termination
- These Terms apply for as long as you use the site or the trial.
- You can stop using the service at any time. We can terminate access for material violation of these Terms (with reasonable notice where practical) or where required by law.
- On termination of a trial, we stop accessing your BC tenant immediately on OAuth revocation and delete trial data within the windows described in the privacy policy.
- Sections that should reasonably survive — IP, confidentiality, disclaimers, liability limits, indemnification, governing law — survive.
12. Confidentiality
Each side will protect the other’s confidential information with the same care it uses for its own (and at least reasonable care), use it only to perform under these Terms, and disclose it only to people with a need to know who are bound by confidentiality obligations.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of law. Disputes will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to jurisdiction there. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
14. Publicity
We won’t quote your company by name in marketing without your permission. We may identify you as a customer in non-quote ways (a logo wall, an aggregate count) only with your written approval; until granted, no public reference.
15. Changes
We may update these Terms. Material changes get notice at least 30 days in advance through the site or by email to addresses we have on file. Continued use after the effective date constitutes acceptance. If you don’t accept, stop using the service.
16. Miscellaneous
- Entire agreement. These Terms, together with the DPA and Privacy Policy (and, for paid customers, the Subscription Agreement), are the entire agreement on the topic and supersede prior discussions.
- Assignment. You can’t assign without our consent. We can assign in connection with a merger, acquisition, or sale of substantially all assets.
- Severability. If a clause is unenforceable, the rest stays in effect.
- No waiver. Failure to enforce a right isn’t a waiver of it.
- Independent contractors. We’re not partners or agents.
- Force majeure. Neither side is liable for failures caused by events outside reasonable control.
